TERMS AND CONDITIONS

By trading with CAN Woodwork, you automatically agree to have read and accepted our terms and conditions below. Alterations are only valid if CAN Woodwork has expressly and in writing communicated their acceptance. The terms and conditions listed below are subject to Danish law and using the Danish language.


Basis of agreement

The following general sales and delivery conditions (hereinafter "Terms and Conditions") apply to any CAN Woodwork (hereinafter "Seller") offers, sales, services, sold goods, agreements and deliveries. This also applies where the Customer (hereinafter "Buyer") prescribes other conditions. Alterations from the trading conditions below are only valid with CAN Woodwork's express written acceptance.

§2 Offer and Confirmation of order 

Submitted offers are valid for 14 days, unless otherwise stated in the offer, and are only valid in their entirety. Items cannot be selected in an offer, which is always submitted as a combined and fixed price offer. If the composition of the offer is changed by the Customer, the previous offer is canceled and a new one will be sent from CAN Woodwork. Our offer does not include other trades, services, or their associated expenses such as the work and services of electricians, plumbers, bricklayers, painters, grouting, etc. unless this is otherwise described in the offer. 

Transport and installation are not included in an offer, unless otherwise stated. 

When CAN Woodwork begins the design phase, i.e.: measurement, drawing, quotation / fixed pricing and detailing, the Customer commits to an amount of DKK 4,000. The amount is only invoiced if the Customer subsequently does not place an order.

§2.2 Confirmation of order

After written acceptance of the offer, a first instalment (50% of the full amount of the order) is paid as a downpayment / guarantee by the Customer. An order is only valid when the first instalment has been received and both the Customer and CAN Woodwork have accepted the offer in writing. The date on which the first instalment is received will indicate the start date of the project. The agreed delivery time starts from this date. CAN Woodwork then sends a confirmation of order to the Customer via e-mail. 

Changes in design, material, size, finish and/or removal or addition of components, etc. from the Customer's side after receiving a confirmation of order can only be done with either an additional fee or a new offer depending on the scope of the project and the requested changes from the customers' side.


§3 Prices and payment 

All prices in the offer are quoted in Danish kroner (DKK) and are inclusive of VAT (25%) for products for private customers, while products for businesses and the public, municipality, state are exclusive of VAT (25%). 


§3.1 Payment 

Payment takes place in two instalments regardless of the size of the full amount: 

First instalment: 50% of the offer's full sales purchase price (downpayment guarantee).

Second instalment: Remaining balance of 50% of the offer's full sales purchase price, unless another written agreement has been entered into. 

The first instalment is paid upon acceptance of the offer. The second instalment is paid after joint review and approval upon delivery of the product / project / task.

The amount is paid into the company's bank account stated in the offer. 

Furthermore, in the case of special tasks that exceed the sales purchase price above DKK 100,000 including VAT, a bank guarantee or guarantor can be requested for the full amount before the work begins.

Unless otherwise agreed, following the receipt of the invoice, the full balance is due for payment as follows: 

Private customers: Full balance no later than 7 days 

Business customers: Full balance no later than 14 days 

Public: Full balance no later than 30 days  

In case of late payment after the due date, interest of 0.70%, per started month, as well as a fee of DKK 100.00 will be charged. In accordance with the Trade Act.


§4 Reservation of ownership

CAN Woodwork fully reserves the right of ownership to the sold item, until full payment of the total sales purchase price and any fees and interest have been paid by the Customer.


§5 Delivery and freight 

Delivery expenses are not included in an offer, unless this is otherwise described and / or agreed upon in the offer. If no agreement on delivery is entered into in an offer, the delivery is considered as AB "Workshop" (the customer arranges for freight himself).


§5.1 Freight 

In cases where freight is included in an offer, and an external freight company is used, freight prices will be calculated separately, depending on the scope of the task. Insurance is then transferred to the shipping company as soon as the item(s) are in their custody.


§6 Installation

Installation is not included in an offer, unless this is otherwise described. In cases where installation is included in an offer, the following applies: 

It must be accessible to the room where the installation is to take place at the Customer, and the room must be cleared. It is crucial that the work of external tradesmen is completed before CAN Woodwork's installation begins, e.g. plumbing, electrician, painter, carpenter, etc. If this is not the case, CAN Woodwork's installation will not be started and a daily rate per day will be charged. per man per day for wasted work.


§7 Drawings 

Visualisations and descriptions of building proposals are indicative and without liability. The visualisations from CAN Woodwork are indicated purely as product visualisation. Reservations are made for project changes from CAN Woodwork as well as from their external suppliers and professional tradesmen. CAN Woodwork does not take responsibility for any defects or deficiencies with manufactured goods, in the case of working drawings supplied by the Customer or their third party. Changes agreed to orally must be confirmed by CAN Woodwork in writing to remain valid.


§8 Delivery time and delay 

Once the first instalment has been received, the current expected delivery time is 8 - 12 weeks. Delivery time is a guideline. Reservations are made for delayed delivery times from external sub-suppliers, due to the current world situation in relation to unstable markets worldwide, the war in Ukraine, energy crisis, etc. Likewise, the customer will be informed upon order confirmation in the event of an overbooked calendar.


§8.1 Delay 

If CAN Woodwork can foreseeably attest that the agreed delivery time cannot be met, or that a delay must be considered probable, the Customer will receive written notification of this and, as far as possible, the time when delivery is expected to take place. CAN Woodwork is entitled to postpone the delivery date if necessary for technical and/or other reasons, including delays from subcontractors and / or e.g. unavailable / delayed building material, current unstable market, or force majeure as described in §11. The customer cannot claim any type of financial compensation or liability due to delay from CAN Woodwork, unless this is expressly stated in another written agreement. The customer cannot cancel the agreement due to a delivery delay attributable to CAN Woodwork, unless the delay exceeds 4 months. This provision applies regardless of whether the cause of the delay occurs before or after the end of the agreed delivery time.

If delivery is postponed due to the Customer's circumstances (creditor default), the Customer is still obliged to make any conditional payment as if final delivery has been completed. The customer must as soon as possible thereafter notify that actual delivery can take place, after which CAN Woodwork will execute the postponed delivery within a reasonable time. In the case that the delivery cannot be completed due to the Customer's circumstances, CAN Woodwork will see that the goods are stored at the Customer's own expense and risk. At the Customer's request, CAN Woodwork will insure the goods at the Customer's own expense and risk. In the event of delayed delivery, the customer is obliged to reimburse CAN Woodwork for such losses, reasonable costs or time consumption. If the Customer fails to inform CAN Woodwork in writing to be able to receive the goods within a period of 21 days, in the situation that CAN Woodwork is not responsible for, CAN Woodwork is entitled, by written notice to the Customer, to terminate the agreement for the part of the goods ready for delivery which is not is received due to the Customer's delay and/or default. In such a case  the Customer is obliged to compensate CAN Woodwork for losses and damages cause by the Customers default.


§9 Deficiency 

CAN Woodwork undertakes to remedy all deficiencies in accordance with the Purchase Act. Should the Customer discover defects after the product has been delivered, or the work has been handed over, the Customer must immediately notify CAN Woodwork of this in writing. According to the Sales Act, the defect, or the cause of it, must be present at the time of purchase. 

This obligation only covers defects that arise under the working conditions stipulated in the agreement and correct use. 

CAN Woodwork's limited liability only applies to damage or defects that can be proven to have been committed directly by CAN Woodwork or their employees. 

It does not include defects caused by: 

Deficient maintenance by the Customer or a third party. 

  • Incorrect installation by the Customer or a third party contrary to the seller's instructions. 
  • Customer or third party changes / adaptations / modifications made without the sellers approval. 
  • The Customer's own repairs, or the repairs executed by a third party.
  • Damages as a result of unusual use or misuse, just as they do not include normal wear and tear or deterioration from the Customer or third parties. 
  • Authenticity of solid wood and veneered wood with characteristics such as minor knots, discolouration or shade difference, grain pattern, etc. will not be considered as deficiencies, but material properties of a natural material.


§10 Liability 


CAN Woodworks' responsibility only covers product defects that appear within 1 year from the day the item was delivered to the Customer. 

CAN Woodwork is under no circumstances responsible for lost profits, operating losses, or other financial consequential losses. In the case CAN Woodwork may be charged with product liability towards a third party, the Customer is obliged to indemnify CAN Woodwork to the same extent that CAN Woodwork's liability is limited according to §9. If a third party makes a compensation claim against the Customer due to product damage, errors or defects, the Customer must immediately notify CAN Woodwork of this. 


§11 Force majeure

The following circumstances at CAN Woodwork result in freedom from liability if they prevent the fulfillment of the agreement or make fulfillment unreasonably burdensome. 

Labor dispute and any other circumstance beyond the seller's control, such as fire, war, mobilization, or unforeseen military conscription of similar magnitude, requisition, seizure, currency restrictions, disease, riots and disturbances, lack of means of transportation, unless such lack could be foreseen by the seller, general shortage of goods as well as deficiencies in, or delays in, deliveries from sub-suppliers which are due to any of the circumstances mentioned in this point. 

Circumstances, as mentioned, which occurred before the conclusion of the agreement, only lead to freedom from liability if their influence on the fulfillment of the agreement could not be foreseen at the time of the agreement by the seller. It is the responsibility of the seller, if he wishes to invoke any exemption from liability as mentioned in this section, to notify the buyer of this reason in writing without undue delay. 

Regardless of what otherwise appears in these terms and conditions, either party can terminate the agreement by written notice to the other party, if fulfillment of the agreement is prevented for more than 6 months by an event as mentioned in this section.


§12 Right of return

Specially produced goods, which have been manufactured according to the Customer's specifications, or have been given a distinct personal touch, are not covered by the right of return. Customised orders cannot in principle be cancelled, as they are not a stock item or standard item, and are produced specifically for the order.


§13 Complaints 

CAN Woodwork provides the right of complaint in accordance with applicable legislation. A 24-month right of return is granted on all goods. This means that you can either get the item repaired, exchanged, the money back, or a reduction in the price, depending on the specific situation. According to the Sales Act, CAN Woodwork must cover any errors when delivering the goods. It is a requirement that any defects in the product have not occurred as a result of incorrect use of the product, lack of maintenance or other damage-causing behavior as described in §9. 

CAN Woodwork must be notified in writing of the complaint within 7 days.

§14 Default

 In the event of the Customer's breach of the agreement, CAN Woodwork is entitled to cancel the agreement and the related agreements without further notice and to demand payment of its loss and any outstanding balances.


§ 15 Choice of law 

Any dispute between CAN Woodwork and the Customer in connection with the agreement shall be settled according to Danish law, in Danish language. In all legal proceedings that may be brought before CAN Woodwork or the Customer, CAN Woodwork has the authority to choose the location of court.


§ 16 Personal data policy 

When entering into an agreement with CAN Woodwork, the following information is required from the Customer: 

  • Name 
  • Address 
  • Phone number 
  • Email address 
  • VAT nr. (For companies) 

We register the Customer's personal data with the aim of being able to deliver the product to the Customer, as well as for ongoing communication purposes. The personal information is registered with CAN Woodwork and stored for five years, after which the information is deleted. The customer's information is not passed on or sold to third parties.
